Senior Management Commitment

It is a commitment of Elera’s Senior Management to support and drive initiatives that promote and sustain an ethical culture across every level of the company, leading by example and ensuring the resources needed for the Compliance Program to operate fully.
Ethics, Integrity, and Compliance
As a cornerstone of our culture of integrity and compliance, we have a Corporate Code of Conduct and Ethics, developed together with the company’s senior management in line with our global standards. The Code applies to all our employees, partners, and suppliers, serving as a guide for institutional, personal, and working relationships. It reaffirms the principles of trust, transparency, accountability, and fairness that guide our business.

Another key element of our Compliance Program is the Anti-Bribery and Anti-Corruption Policy. It brings together the practices and references we adopt to help prevent potential fraud or corruption, as well as to effectively address any occurrences. It provides clear guidelines on which conduct is not acceptable in the course of our business activities.

Committed to this belief and to zero tolerance for bribery and corruption, we maintain a Compliance Program, a set of guidelines, policies, procedures, and corporate governance and risk-management structures that applies to every member of our team, without exception.
Corruption Risk Management
To support the continuity of our Compliance Program and in line with international best practices for combating corruption, Elera Renováveis periodically carries out a fraud and corruption risk analysis. This analysis leads to specific risk-mitigation actions and improvements to the Compliance Program, such as adjustments to internal policies, processes, and procedures, or the introduction of new control and monitoring mechanisms.
Anti-Corruption Rules for Elera Suppliers
Our commitment to integrity and compliance also extends to our business partners: a company can only become an Elera partner after a risk assessment and classification based on established protocols. Prospective partners who do not meet the expected standard do not enter into contracts with us. We believe measures like these significantly mitigate fraud and corruption risks tied to our activities and help spread ethics and integrity throughout our supply chain, reinforcing the importance of conduct aligned with applicable laws and regulations.
Confidential Reporting Channel
Our employees and business partners are actively encouraged to report any suspected violation of the principles set out in our Code of Conduct and Ethics. For this purpose, we provide a Confidential Reporting Channel for both our internal and external audiences. The channel is managed by an independent third party and allows anyone to anonymously report suspected misconduct by employees, contractors, or officers of the company that may violate our Corporate Code of Conduct and Ethics or related policies. The system is available in Portuguese and Spanish, free of charge, 24 hours a day, seven days a week.
